Shareholders Structure Banco BPI's share capital of 1 190 M.€ is made up of 1 390 million of nominative and dematerialised (book entry) ordinary shares with no par value. All the shares are listed on the Euronext market. After the capital increase from 990 M.€ to 1 190 M.€ conducted in August 2012 by the issue of 400 million shares directed to the subscription by the shareholders, the shareholder structure of Banco BPI is as follows, based on the information received from the Central de Valores Mobiliários (Clearing House) reported on 31 July 2012 and the results of the referred capital increase. Shareholders owning more than 2% of Banco BPI's capital
1) According to a statutory provision, the voting rights for purposes of their exercise are limited to 20%. 2) Through Caixabank, S.A., which is 81.5% held by the parent company of the La Caixa Group, Caixa d'Estalvis i Pensions de Barcelona ("La Caixa"). 3) Directly held by Santoro Finance - Prestação de Serviços, SA ("Santoro Finance"), and imputable to Santoro Financial Holdings, SGPS ("Santoro"), as owner of the entire capital of Santoro Finance, and to Eng. Isabel José dos Santos, in her capacity as shareholder of Santoro Financial Holdings, SGPS. 4) Through the subsidiaries controlled by Allianz SE: direct shareholding of 8.66% held by Allianz Europe Ltd. (100% held by the Allianz Group) and a direct shareholding of 0.16% held by Companhia de Seguros Allianz Portugal (65% held by the Allianz Group). 5) Direct participation of 2.04% held by HVF SGPS, which, pursuant to paragraph d)(1) of article 20 of CVM, includes 242 000 shares held by Otilia Soares Violas Alves Ferreira (0.02% of Banco BPI capital) and 1 352 619 shares held by Edgar Ferreira Alves (0.10% of Banco BPI capital), President and Member of the Board of Directors of the company HVF - SGPS, respectively.
